Leeds City Holdings Limited (“the Company”)
Mortgage of Shares (“the Charge”
The sum of £2m plus any further amount made available by the Mortgagee (as defined below) and actually drawn down by the Company, and all sums payable by the Company under the Charge (the “Secured Liabilities”)
GFH Capital Limited (“The Mortgagee”)
The Company has charged to the Mortgagee, by way of a fixed charge (subject to the debenture in favour of Compass Contract Services (UK) Limited dated 14th June 2012 (the “Prior Security Interest”)), all the ordinary shares in the share capital of Leeds United Football Club Limited incorporated and registered in England and Wales with company number 06233875 (the “Shares”) owned by it or held by any nominee on its behalf.
The Company also charged to the Mortgagee by way of fixed charge (but subject to the Prior Security Interest) all Related Rights (as defined below)
Negative Pledge
The Company shall not at any time, except with the prior written consent of the Mortgagee
a) Create, purport to create or permit to subsist any Security Interest on, or in relation to, any Charged Property which ranks in priority to, or pari passu with, the Security Interest created by the Charge (other than the Prior Security Interest)
b) Sell, assign, transfer, part with possession of or otherwise dispose of in any manner (or purport to do so) all or any part of the Charged Property
Definitions
“Charged Property” means the Shares and the Related Rights
“Related Rights means any
a) Dividend or interest paid or payable in relation to any Share, and
b) Right, money or property accruing, offered or issued at any time in relation to any Share by way of redemption, substitution, exchange, conversion, bonus, preference or otherwise, under option rights or otherwise
“Security Interest” means any mortgage, charge (whether fixed or floating, legal or equitable), pledge, lien, assignment by way of security or other security interest securing any obligation of any person, or any other agreement or arrangement having a similar effect
